TO LEAD, STRENGTHEN AND DEVELOP THE COMPANY INTO A FINANCIALLY VIABLE AND OPERATIONALLY VIABLE ENTITY
Position Title: Chief Executive Officer (CEO)
Reports To: Board of Directors
Location: Islamabad, Pakistan
KEY RESPONSIBILITIES:
The CEO is the Chief Executive Officer (CEO) and a second executive of the Company, answerable to the Board of Directors for the overall performance of the Company. The CEO is responsible for the strategic direction of the Company and the execution of its business plan. The CEO is required to follow the directives of the Power Division and EIDMC Board. The CEO is accountable to the Board of Directors for the Company's overall performance and achievement of its objectives. The CEO is expected to manage the Company's operations, finances, and resources efficiently and effectively, while upholding the highest standards of integrity, ethics, and accountability.
1. Strategic Leadership & Management:
- Develop and execute the Company's strategic plan and business objectives, ensuring alignment with the vision and mission of EIDMC, Power Division and the Government of Pakistan.
- Lead and manage the Company's operations, including project execution, and maintenance, and regulatory compliance, and stakeholder engagement.
- Drive operational transformation through innovation in technology adoption, and sustainable solutions.
2. Corporate Governance & Compliance:
- Ensure compliance with all relevant laws, regulations, and corporate governance standards, including the Code of Corporate Governance, and other applicable laws and regulatory frameworks.
- Maintain effective communication and reporting to the Board of Directors, Power Division and the Government of Pakistan.
3. Financial Management & Reporting:
- Oversee the planning, development, execution, and management of energy infrastructure and transmission projects.
- Manage the Company's finances, including budget, financial reporting, and audit.
4. Stakeholder Management & Engagement:
- Build strong relationships with government agencies, donors, and industry players.
- Represent the Company in high-level negotiations, forums, and international engagements.

QUALIFICATIONS, EXPERIENCE & AGE:
- A Professional Engineer (PE) registered with the Pakistan Engineering Council (PEC) possessing a Bachelor's degree in Engineering (Civil/Electrical/Mechanical) or a Master's degree in Business Administration/Public Administration, or a relevant discipline from a recognized institution.
- Minimum 15 years of progressive professional post-qualification experience, with at least 10 years in a senior management or leadership role in a large corporate organization or project, preferably in the energy, transmission, or infrastructure sector.
- Proven track record of managing large corporate organizations or projects, preferably in the energy, transmission, or infrastructure sector.
- Maximum age is Fifty-Five (55) years on closing date.
TO ENSURE CORPORATE GOVERNANCE, REGULATORY COMPLIANCE AND EFFECTIVE BOARD MANAGEMENT FOR TRANSPARENT AND EFFICIENT CORPORATE FUNCTIONING
Position Title: Company Secretary
Reports To: Board of Directors (BOD) EIDMC
Location: Islamabad, Pakistan
KEY RESPONSIBILITIES:
The Company Secretary is the custodian of Corporate Governance and the primary liaison between the Board of Directors and the Company Management. The Company Secretary is responsible for ensuring that the Company complies with all relevant laws, regulations, and corporate governance standards. The Company Secretary is also responsible for providing advice and support to the Board of Directors, ensuring that the Board functions in an efficient and effective manner.
- Corporate Governance & Compliance:
- Ensure compliance with all provisions of the Companies Act, 2017, PSOs Act, 2023, and other applicable laws and regulations.
- Board & Committee Management:
- Organize and manage Board and Committee meetings, including preparation of agendas, minutes, and related documents.
- Regulatory & Liaison Role:
- Maintain updated records of Directors, their disclosures, and submission of required statutory forms and returns.
- Capacity Building & Orientation:
- Organize orientation sessions and training programs for Directors.
CORE COMPETENCIES:
- Corporate Governance: Strong understanding of corporate governance, regulatory compliance, and emerging trends.
- Communication Excellence: Strong written and verbal communication skills.
- Integrity & Governance: Unwavering commitment to transparency, ethics, and regulatory compliance.
QUALIFICATIONS, EXPERIENCE & AGE:
- A Chartered Accountant (CA), Cost and Management Accountant (CMA), or Corporate Professional with a Master's degree in Business Administration/Public Administration, or a relevant discipline from a recognized institution.
- Minimum 15 years of progressive professional post-qualification experience, with at least 5 years in a senior management or leadership role in a large corporate organization or project, preferably in the energy, transmission, or infrastructure sector.
- Proven track record in corporate governance, board management, regulatory compliance, and stakeholder engagement.
- Maximum age is Fifty-Five (55) years on closing date.
OTHER TERMS & CONDITIONS:
- REMUNERATION & TENURE:
- The above positions are contractual for a period of three (3) years from the date of appointment with a one-year probation period. The contract is renewable based on satisfactory performance on the basis of performance appraisal achievement of KPIs.
